Microsoft Process for SEC Compliance
Sec370 - The Microsoft Corporation has an assigned Audit Committee; this committee operates under a written charter adopted by the Board of Directors.   The charter includes a calendar that outlines the Audit committee’s duties and responsibilities for each quarter [   (Microsoft Corperation, 2010) ].   The calendar and charter are reviewed annually. NASDAQ listing standards definition of independence for audit committee members is reviewed by the Board of Directors annually to determine that each member of the Audit Committee meets the standard.   
Sec 370 - The Board of Directors has the top authority to promote effective corporate governance; this includes overseeing Microsoft management. It is the responsibility of the Audit Committee to assist the Board in fulfilling its responsibilities by overseeing the accounting and financial reporting process of Microsoft [   (Microsoft Corperation, 2010) ].

Sec390 - Audits of Microsoft’s consolidated financial statements and internal control over financial reporting, qualification and performance reviews of independent auditors, and the performance of internal auditors are some of the responsibilities of the Audit Committee.

Sec 390 -Managers are responsible for the presentation, preparation, integrity of all consolidated financial statements, all principals involved with accounting and reporting, the internal control over financial reporting, and disclosure controls. Management is also responsible for complying to all procedures designed to ensure compliance with accounting standards, regulations, and current laws [   (Microsoft Corperation, 2010) ]. Management is responsible for evaluating and objectively reviewing the adequacy, effectiveness, and quality of Microsoft’s internal controls [   (Microsoft Corperation, 2010) ]. The regulations stated is the process that Microsoft will use to comply with SEC regulations.
